If you use the Website on behalf of a company or other legal entity, you represent and warrant that you are authorised to bind that entity to these Terms.

2. Purpose of the Website and eligibility

  1. The Website presents our reference-design PCBA, molds and enclosures, IoT system solutions and related services, and allows business customers to submit inquiries about cooperation.
  2. The Website is intended for business customers (B2B). It does not sell products directly to consumers and does not provide online ordering, online payment, user account registration or order management.
  3. You must have the legal capacity required in your jurisdiction and comply with all applicable laws, regulations and export-control requirements.
  4. Product, solution, specification, price (if any) and lead-time information on the Website is for reference only and does not constitute an offer. Any cooperation is subject to a separate written agreement signed by both parties.

3. Content and information

  1. We aim to keep the information on the Website accurate and current, but we do not warrant that all content is complete, accurate, up to date or suitable for your particular purpose.
  2. Specifications, images, structures, compatibility and application examples of reference designs, molds, enclosures and system solutions may change due to batch, configuration, supply chain or technical improvements, and are illustrative in nature. You should independently verify them before selection, design, procurement and mass production, and rely on written confirmed specifications.
  3. The Website may contain technical documents, drawings, images, videos, news and case studies. Such content does not constitute engineering, legal, tax, financial or other professional advice.
  4. We reserve the right to modify, update, suspend or remove any content on the Website without prior notice.

4. Intellectual property

  1. The Website and its content (including, without limitation, text, images, photographs, graphics, icons, logos, trademarks, layout, interface design, source code, databases and their arrangement) are owned by us or our licensors and are protected by applicable copyright, trademark, patent and other laws.
  2. "intlab58" and related marks, names and logos used on the Website are our trademarks or registered trademarks. You may not use them without our prior written consent.
  3. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to browse, view and print publicly available content on the Website solely for your business's evaluation of our products and services. You may not otherwise copy, modify, translate, adapt, distribute, sell, rent, reverse engineer, scrape, bulk-download or use the content for commercial purposes.
  4. The Website may contain third-party trademarks, images or content; rights in those materials belong to the relevant third parties. We make no grant or warranty with respect to them.

5. Acceptable use

You agree not to:

  1. use the Website in any unlawful, fraudulent, infringing, defamatory, obscene, harassing, hateful or otherwise inappropriate manner;
  2. access, interfere with, damage or attempt to access the Website, its servers, networks or related systems without authorisation;
  3. upload, transmit or submit viruses, malicious code, spam, false information or content that infringes the rights of others;
  4. use automated scripts, crawlers, scraping tools or other means to harvest Website content in bulk or impose an unreasonable load on the Website;
  5. impersonate any person or misrepresent your affiliation with any person, company or organisation;
  6. violate any applicable export-control, sanctions, anti-bribery, anti-corruption or data-protection laws; or
  7. assist or permit any third party to do any of the above.

We may take reasonable measures in response to violations, including restricting or terminating access, removing content, preserving evidence and reporting to the competent authorities.

6. User submissions

  1. You must ensure that any inquiries, requirements, drawings, specifications, images, sample information or other materials you submit to us through the Website, by email or otherwise (the "Submissions") are lawfully yours or duly authorised, and do not infringe any third party's intellectual property, trade secrets or privacy rights.
  2. You grant us a non-exclusive, royalty-free licence to use the Submissions to the extent necessary to respond to your inquiry, evaluate cooperation, provide solutions and perform contracts. We will not use your Submissions for public marketing unrelated to the Website's services without your separate consent.
  3. Please do not submit highly sensitive trade secrets, personal information or materials subject to confidentiality obligations through the Website unless both parties have signed a non-disclosure agreement (NDA). Without an NDA, we do not undertake confidentiality obligations beyond those required by this Policy or applicable law.

7. Third-party links

The Website may contain links to third-party websites, products or services. Such links are provided for your convenience only and do not constitute our endorsement, guarantee or recommendation of the third party. We are not responsible for the content, privacy practices, security or availability of third-party websites. You access third-party websites at your own risk.

8. Disclaimer

  1. The Website and its content are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we make no express or implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, continuity, freedom from errors or freedom from viruses.
  2. We do not warrant that the Website will be uninterrupted, timely, secure or error-free, or that defects will be corrected.
  3. You are responsible for your own judgment and risk when using the Website and when making any engineering, procurement, investment or business decision based on information on the Website. You should conduct your own testing, certification and compliance assessment for the suitability of reference designs, standard solutions, molds, enclosures and system solutions.
  4. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for our wilful misconduct, gross negligence, fraud, or death or personal injury.

9. Limitation of liability

To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, special, punitive or consequential damages (including, without limitation, loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption or the cost of substitute services) arising from or in connection with your access to, use of, or inability to access or use the Website, even if we have been advised of the possibility of such damages.

Our aggregate liability for direct damages is limited to the extent permitted by applicable law; the specific liability cap is subject to the limits permitted by applicable law. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law.

10. Indemnity

If any third party brings a claim, action or demand against us arising from your breach of these Terms, your infringement of third-party rights, your unlawful use of the Website or your Submissions, you agree to indemnify us and our affiliates, directors, employees and agents, to the extent permitted by applicable law, for the resulting reasonable losses, liabilities, costs and legal fees.

11. Governing law and dispute resolution

  1. The formation, validity, interpretation, performance and dispute resolution of these Terms are governed by the laws of the People's Republic of China, without regard to its conflict-of-law rules.
  2. Any dispute arising out of or in connection with these Terms or the Website shall first be resolved through friendly negotiation. If negotiation fails, either party may bring an action before the competent People's Court in Longgang District, Shenzhen.
  3. If mandatory laws in your jurisdiction grant you rights that cannot be waived, these Terms do not affect those rights.

12. Changes to these Terms

We may revise these Terms from time to time. The revised Terms will be posted on this page with the last-updated date. If a revision materially affects your rights or obligations, we will provide reasonable notice (for example, by posting a prominent notice on the Website). Your continued use of the Website after the revision takes effect constitutes acceptance of the revised Terms. If you do not agree, please stop using the Website.

13. Termination

If you breach these Terms or applicable law, we may restrict, suspend or terminate your access to the Website without prior notice and remove relevant content. The provisions of these Terms concerning intellectual property, disclaimers, limitation of liability, indemnity, governing law and dispute resolution, and any other provisions that by their nature should survive, will survive termination.

14. General provisions

  1. Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be modified to the minimum extent necessary to give effect to its original intent.
  2. No waiver: Our failure or delay in exercising any right under these Terms does not constitute a waiver of that right.
  3. Entire agreement: These Terms constitute the entire agreement between you and us regarding use of the Website and supersede any prior oral or written statements on the same subject. Specific cooperation projects are governed by the contract signed by both parties.
  4. Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation or transfer of assets.
